BALONGE may revoke this license immediately if these Terms are breached.

5. Intellectual Property Rights

All Website content is owned by, licensed to or lawfully used by BALONGE, including:

  • The BALONGE name.

  • The BALONGE wordmark.

  • The BALONGE |B logo.

  • Product names and collection names.

  • Product designs.

  • Shoe designs.

  • Eyewear designs.

  • Apparel graphics.

  • Photographs.

  • Videos.

  • Packaging designs.

  • Catalogues.

  • Product descriptions.

  • Website layouts.

  • Artwork.

  • Icons.

  • Graphics.

  • Marketing materials.

  • Text.

  • Software.

  • Source code.

  • Databases.

  • Trade dress.

  • Slogans.

  • Domain names.

  • Social-media content.

Such materials are protected by copyright, trademark, industrial-design, unfair-competition and other intellectual-property laws.

No right, title or interest in BALONGE intellectual property is transferred to you through your use of the Website or purchase of a Product.

All rights not expressly granted are reserved by BALONGE.

6. Trademarks

BALONGE trademarks, logos, brand names, product names and design elements may not be used without prior written authorization from BALONGE Inc.

You may not:

  • Register a confusingly similar business name.

  • Register a confusingly similar domain name.

  • Use BALONGE branding in paid advertising.

  • Use BALONGE branding as social-media usernames.

  • Apply BALONGE marks to unauthorized products.

  • Manufacture counterfeit BALONGE merchandise.

  • Alter or distort the BALONGE logo.

  • Remove labels or branding from BALONGE Products for resale.

  • Suggest sponsorship, endorsement or affiliation without authorization.

References to third-party trademarks are for identification purposes only and do not imply endorsement or ownership.

7. Product Information

BALONGE attempts to present Product information accurately. However, to the extent permitted by law:

  • Colours may vary due to screen settings and lighting.

  • Product images may appear larger or smaller than actual size.

  • Packaging may vary.

  • Minor variations may occur between production runs.

  • Materials, finishes or components may be updated.

  • Product descriptions may contain unintentional errors.

  • Product availability may change without notice.

BALONGE may correct any error or omission at any time.

A correction may occur before or after an order is submitted. Where legally permitted, BALONGE may cancel an affected order and issue an appropriate refund.

8. Product Availability

Displaying a Product on the Website does not guarantee availability.

10. Taxes, Duties and Import Charges

Unless expressly stated, these charges are not included in the Product price.

11. Orders

Submitting an order constitutes an offer to purchase.

An automated order-confirmation email only confirms that BALONGE received your order. It does not necessarily mean the order has been accepted.

An order is accepted only when BALONGE:

  • Confirms shipment;

  • Provides an express acceptance; or

  • Otherwise completes the transaction.

BALONGE may refuse or cancel an order where permitted by law, including because of:

  • Inventory shortages.

  • Pricing errors.

  • Payment problems.

  • Suspected fraud.

  • Unauthorized resale.

  • Incorrect customer information.

  • Shipping restrictions.

  • Purchase-limit violations.

  • Technical errors.

  • Product recalls.

  • Legal or regulatory restrictions.

If BALONGE cancels a paid order, the amount charged for the cancelled portion will be refunded.

12. Purchase Limits and Resale Restrictions

Products are offered primarily for personal use unless BALONGE has approved a wholesale, dealership or retail partnership arrangement.

BALONGE may restrict or cancel orders that appear intended for unauthorized:

  • Commercial resale.

  • Export.

  • Distribution.

  • Marketplace listing.

  • Drop-shipping.

  • Bulk purchasing.

  • Product diversion.

Authorized retailers must comply with any separate wholesale, dealership, inventory, display or partnership agreement.

Purchasing Products does not grant the right to:

  • Represent yourself as an authorized BALONGE retailer.

  • Use BALONGE trademarks in your business name.

  • Alter BALONGE packaging.

  • Manufacture derivative Products.

  • Advertise an unauthorized commercial affiliation.

13. Payment

You authorize BALONGE and its payment processors to charge the payment method submitted for:

  • Product prices.

  • Taxes.

  • Shipping.

  • Duties where applicable.

  • Other disclosed charges.

You represent that:

  • You are authorized to use the payment method.

  • The payment information is accurate.

  • Sufficient funds or credit are available.

  • The transaction is lawful.

BALONGE may use third-party payment providers and may not directly store complete payment-card information.

Payment authorization may be required before an order is processed.

14. Fraud Prevention and Verification

BALONGE may conduct fraud-prevention and transaction-verification activities.

BALONGE may request:

  • Government-issued identification.

  • Billing-address confirmation.

  • Delivery-address verification.

  • Confirmation from the cardholder.

  • Additional payment verification.

  • Proof of authorization.

BALONGE may delay, cancel or refuse orders where verification is not completed or where suspicious activity is identified.

Fraudulent transactions may be reported to payment processors, financial institutions or law-enforcement authorities.

15. Shipping

BALONGE offers free standard shipping within Canada on eligible orders of CAD $500 or more before applicable taxes, unless otherwise stated.

Shipping rates for orders below the free-shipping threshold are determined using factors such as:

  • Destination.

  • Weight.

  • Dimensions.

  • Carrier pricing.

  • Service level.

  • Fuel surcharges.

  • Remote-area surcharges.

  • Logistics-provider rates.

Shipping fees shown at checkout are part of the proposed transaction and must be accepted before the purchase is completed.

BALONGE reserves the right to select:

  • The shipping provider.

  • The warehouse.

  • The shipping service.

  • The route.

  • The packaging method.

  • Whether an order is shipped in one or multiple packages.

Shipping rates may change without prior notice.

Nothing in this section prevents a customer from exercising a mandatory right under applicable law.

16. Delivery Estimates

Delivery estimates are estimates only and are not guaranteed unless expressly stated as guaranteed.

Delivery may be affected by:

  • Weather.

  • Labour disputes.

  • Customs inspections.

  • Carrier delays.

  • Transportation disruptions.

  • Natural disasters.

  • Public emergencies.

  • Incorrect addresses.

  • Remote locations.

  • High seasonal demand.

  • Events beyond BALONGE’s reasonable control.

17. Risk of Loss and Title

Subject to applicable law, risk of loss passes to the customer when the order is delivered to the address provided by the customer.

Title to Products passes upon full payment and delivery, subject to any rights retained by BALONGE under applicable law.

Customers are responsible for ensuring that:

  • The delivery address is correct.

  • Someone is available to receive the package where necessary.

  • The location is secure.

  • Building-access instructions are accurate.

BALONGE is not responsible for theft after confirmed delivery, except where required by law or where the loss resulted from BALONGE’s own error.

18. Incorrect Addresses and Undeliverable Orders

Customers must provide a complete and accurate delivery address.

The customer is responsible for additional costs caused by:

  • Incorrect addresses.

  • Missing apartment or unit numbers.

  • Refused deliveries.

  • Failed delivery attempts.

  • Unclaimed packages.

  • Address changes requested after shipment.

  • Reshipment of returned packages.

BALONGE may deduct legally permitted carrier charges, return-shipping costs or reshipment costs from an eligible refund.

19. Returns and Exchanges

BALONGE’s Return and Refund Policy forms part of these Terms.

Unless a mandatory legal right applies, Products may be returned only where they satisfy BALONGE’s published return conditions.

Returned items generally must be:

  • Unworn.

  • Unwashed.

  • Unused.

  • Undamaged.

  • Free of odour, dirt, hair or cosmetic marks.

  • In resalable condition.

  • Returned with original tags.

  • Returned with accessories.

  • Returned in original packaging.

  • Accompanied by proof of purchase.

  • Returned within the applicable return period.

BALONGE may refuse a return where the Product does not meet these conditions.

20. Return Shipping Costs

For customer-initiated returns, including returns based on:

  • Size preference.

  • Colour preference.

  • Change of mind.

  • Style preference.

  • Ordering error.

  • Duplicate purchase.

The customer is responsible for return-shipping costs, unless applicable law requires otherwise.

BALONGE will generally be responsible for reasonable return arrangements where the return results from:

  • An incorrect Product shipped by BALONGE.

  • A verified manufacturing defect.

  • Damage caused before delivery.

  • Another error attributable to BALONGE.

Customers should use a trackable and insured shipping method.

BALONGE is not responsible for a returned package that is lost, damaged or misdirected before it is received by BALONGE.

21. Non-Returnable and Final-Sale Products

Unless required by law, the following may be non-returnable:

  • Final-sale Products.

  • Clearance Products identified as final sale.

  • Gift cards.

  • Customized Products.

  • Personalized Products.

  • Products altered after purchase.

  • Products without original tags.

  • Products missing packaging or accessories.

  • Products showing wear.

  • Products damaged through misuse.

  • Products purchased from unauthorized sellers.

  • Certain hygiene-sensitive items.

  • Products returned after the return deadline.

The Product page, receipt or promotion terms may identify additional exclusions.

22. Refunds

Approved refunds are generally issued to the original payment method.

BALONGE may deduct legally permitted amounts for:

  • Missing packaging.

  • Excessive damage.

  • Unauthorized alterations.

  • Non-refundable shipping charges.

  • Carrier return fees.

  • Discounts no longer applicable after a partial return.

  • Financial institution.

  • Currency conversion.

  • Weekends and holidays.

BALONGE is not responsible for processing delays caused by the customer’s bank or payment provider.

23. Promotional Offers

Promotions may be subject to separate conditions.

Unless otherwise stated:

  • Promotions cannot be combined.

  • Promotions have no cash value.

  • Promotions may be withdrawn or modified.

  • Promotions apply only during the stated period.

  • Quantity limits may apply.

  • Exclusions may apply.

  • Discount codes may be restricted by account, household or order.

  • Promotional items may need to be returned when the qualifying Product is returned.

Where part of a bundle is returned, BALONGE may recalculate the transaction and adjust the refund to reflect the retained items.

24. Gift Cards and Store Credit

Gift cards and store credits:

  • Have no cash value except where required by law.

  • May not be resold.

  • May not be used for unauthorized commercial purposes.

  • May be cancelled if obtained fraudulently.

  • Must be protected by the holder.

  • May be subject to separate terms.

BALONGE is not responsible for lost, stolen or misused gift-card details, except where required by law.

25. Product Care and Normal Wear

Products may naturally change over time through ordinary use.

Normal wear may include:

  • Creasing.

  • Sole wear.

  • Fading.

  • Scuffing.

  • Surface marks.

  • Material softening.

  • Minor colour variation.

  • Loss of finish.

  • Stretching.

  • Wear caused by moisture or weather.

Normal wear, accidental damage, neglect, misuse or improper cleaning is not necessarily a manufacturing defect.

Customers must follow applicable care instructions.

26. Product Safety and Recalls

Customers must stop using a Product where:

  • A recall has been issued.

  • A safety notice has been communicated.

  • The Product appears unsafe.

  • Continued use could cause harm.

BALONGE may contact customers regarding safety notices or recalls.

27. Accounts

You may be required to create an account.

You are responsible for:

  • Informing BALONGE of unauthorized use.

You are responsible for activities conducted through your account unless they result from BALONGE’s own security failure or applicable law provides otherwise.

  • Chargeback misuse.

  • Harassment.

  • Unauthorized resale.

  • Repeated policy violations.

  • False information.

  • Security concerns.

  • Illegal conduct.

28. User Content, Reviews and Submissions

If you submit reviews, photographs, comments, suggestions, testimonials, designs or other content, you represent that:

  • You own or control the required rights.

  • The submission is truthful.

  • It does not infringe third-party rights.

  • It is not defamatory.

  • It is not unlawful.

  • It does not contain malicious code.

  • It is not misleading.

  • It is not submitted for improper compensation without disclosure.

To the extent permitted by law, you grant BALONGE a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, adapt, publish, translate, display, distribute and promote the submitted content in connection with BALONGE’s business.

BALONGE may moderate, remove or decline content at its discretion.

29. Prohibited Conduct

You must not:

  • Violate any law.

  • Commit fraud.

  • Submit false orders.

  • Interfere with Website security.

  • Introduce malware.

  • Attempt unauthorized access.

  • Scrape or harvest data.

  • Copy Website content.

  • Impersonate another person.

Where liability cannot be excluded, BALONGE’s liability will be limited only to the maximum extent permitted by law.

Nothing in these Terms excludes liability that cannot legally be excluded, including liability arising from fraud, wilful misconduct or other non-excludable obligations.

34. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless BALONGE Inc. and its directors, officers, employees, affiliates, agents and service providers from claims, liabilities, damages, losses and reasonable legal expenses arising from:

  • Your unlawful use of the Website.

  • Your breach of these Terms.

  • Your infringement of another party’s rights.

  • Your fraudulent activity.

  • Your unauthorized resale activities.

  • Your submitted content.

  • Your misuse of BALONGE intellectual property.

This obligation does not apply to the extent the claim was caused by BALONGE’s own unlawful conduct.

35. Privacy

BALONGE’s Privacy Policy forms part of these Terms.

Any legal proceeding must be brought in a court of competent jurisdiction in Ontario, subject to any mandatory right permitting a consumer to bring proceedings elsewhere.

Special rules may apply to residents of Quebec and other jurisdictions whose mandatory consumer laws cannot be waived.

40. Dispute Resolution

Before commencing formal proceedings, you agree to contact BALONGE and provide reasonable details of the dispute so the parties may attempt an informal resolution.

Nothing in this clause prevents:

  • A consumer from contacting a regulator.

  • A consumer from exercising a statutory complaint right.

  • Either party from seeking urgent injunctive relief.

  • Either party from bringing a claim where mandatory law requires access to court.

BALONGE does not intend this provision to waive any non-waivable consumer right.

41. Chargebacks

Customers should contact BALONGE before initiating a payment dispute so BALONGE has an opportunity to investigate.

Submitting a knowingly false, misleading or abusive chargeback may result in:

  • Account suspension.

  • Order cancellation.

  • Recovery action.

  • Reporting to payment providers.

  • Refusal of future transactions.

This section does not prevent a customer from exercising a legitimate statutory or contractual dispute right.

42. Force Majeure

BALONGE will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:

  • Natural disasters.

  • Fire.

  • Flood.

  • War.

  • Terrorism.

  • Government action.

  • Public-health emergencies.

  • Labour disruptions.

  • Transportation interruptions.

  • Carrier failure.

  • Cyberattacks.

  • Utility failure.

  • Supply-chain disruption.

  • Material shortages.

  • Customs delays.

BALONGE may suspend, delay, modify or cancel affected performance, subject to any refund obligation imposed by law.

43. Severability

If any provision of these Terms is held invalid, unlawful or unenforceable:

  • That provision will be interpreted or limited to the minimum extent necessary.

  • The remaining provisions will continue in effect.

  • The invalid provision will not invalidate the agreement as a whole.

44. No Waiver

A failure or delay by BALONGE to enforce any provision does not constitute a waiver.

Any waiver must be in writing and authorized by BALONGE.

A waiver concerning one breach does not waive a future breach.

45. Assignment

You may not assign or transfer your rights under these Terms without BALONGE’s prior written consent.

BALONGE may assign its rights and obligations in connection with:

  • A merger.

  • Reorganization.

  • Sale of assets.

  • Corporate restructuring.

  • Transfer to an affiliate.

  • Financing transaction.

Any assignment remains subject to applicable law.

46. Entire Agreement

These Terms, together with any incorporated policies, constitute the entire agreement between you and BALONGE regarding the Website and online purchases.

Incorporated policies may include:

  • Privacy Policy.

  • Shipping Policy.
